Terms & Conditions – Head of Talent Acquisition Accelerator Program
1. Scope
These Terms & Conditions apply to all bookings for the Head of Talent Acquisition Accelerator Program (“Program”) provided by WINTER Consulting, owner: Sören Winter, www.winter-consulting.org.
2. Booking, Offer & Contract Formation
Bookings may be made
a) via online payment (Squarespace Payments), or
b) via the “Pay by Invoice” option.
2.1 Online Payment (Immediate Contract Conclusion)
By completing the online payment process, the participant submits a binding offer to attend.
The contract is concluded immediately upon successful payment, and the seat is confirmed.
2.2 Payment by Invoice (Offer → Acceptance → Reservation)
By submitting the booking form and selecting “Pay by Invoice,” the participant submits a binding offer to attend the Program (“verbindliche Anmeldung”).
WINTER Consulting accepts this offer by sending the written booking confirmation email.
At this moment, the contract becomes legally effective.
The seat is provisionally reserved and becomes fully secured only after full payment of the invoice.
If the invoice is not paid by the payment deadline, WINTER Consulting may withdraw from the contract and release the seat without further notice.
3. Prices & Payment
3.1 Invoice Payment Deadline
Invoices must be paid within 14 days from the invoice date unless otherwise stated.
Payment must be received before the Program start.
3.2 Default
In case of late payment, WINTER Consulting may charge statutory interest and reserves the right to release the reserved seat and enforce contractual claims.
3.3 Prices and VAT
All Program fees are stated net and will be invoiced with the applicable German VAT (currently 19%).
4. Consumer Withdrawal Right (Widerrufsrecht)
The Program is primarily intended for business customers (B2B).
If a participant books as a consumer (§ 13 BGB), the statutory 14-day right of withdrawal for distance contracts applies (§§ 312g, 355 BGB).
If the Program takes place within the withdrawal period and the participant explicitly requests early performance, the withdrawal right may be restricted accordingly.
There is no withdrawal right for business customers (B2B).
5. Cancellation, Postponement & Refunds
5.1 Postponement
Cancellations are not possible.
However, a participant may postpone their booking once to a future Program cohort if the request is made at least 5 days before the Program start.
No refunds are issued.
5.2 Late Cancellations / No-Show
If a participant cancels or does not attend within 5 days of the Program, the seat expires (“verfällt”).
No postponement or refund is possible.
6. Transfer of Participation
Participants may transfer their booking to another suitable colleague from the same employer before the Program starts.
WINTER Consulting may confirm suitability to maintain cohort level of experience.
7. Program Adjustments & Cancellation by WINTER Consulting
WINTER Consulting may adjust the venue, agenda or schedule, if equivalent performance is ensured.
If WINTER Consulting must cancel the Program entirely, all fees already paid will be refunded.
Additional claims — especially for travel or accommodation — are excluded.
8. Liability
WINTER Consulting is liable for damages
only in cases of intent, and
in cases of gross negligence or simple negligence only if essential contractual duties (“Kardinalpflichten”) are breached.
In all cases other than intent, liability is limited to the foreseeable, contract-typical damages at the time of contract conclusion.
Liability for indirect or consequential damages, loss of profit, and purely financial losses is excluded, unless caused intentionally.
Liability for slight negligence beyond the breach of Kardinalpflichten is excluded.
Mandatory liability for damages resulting from injury to life, body, or health remains unaffected.
9. Data Protection
Participant data is processed solely for booking administration, invoicing, communication, and Program organisation, in line with the Privacy Policy of www.winter-consulting.org.
10. Governing Law & Jurisdiction
This agreement is governed by German law.
Where legally permissible, the place of jurisdiction is Berlin, Germany.
